Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of Thorn Layer, a product of CoreSeed Ltd (“we”, “us”, “our”). By creating an account or using the service, you agree to these Terms.

CoreSeed Ltd is registered in England and Wales.

2. Service Description

Thorn Layer is a transparent proxy layer that sits between your application and your LLM API provider. Each request processed through Thorn Layer constitutes one “Thorn”, regardless of the outcome of the processing. Thorns are counted for billing purposes whether the request is forwarded, blocked, or results in any other outcome.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials and API keys. API keys are shown once at the time of generation. CoreSeed Ltd cannot recover lost API keys. You are responsible for all activity under your account.

4. Billing and Payment

Paid tiers are billed monthly or annually as selected at checkout. Annual billing includes a 15% discount. Overage charges are calculated based on usage exceeding your tier's included Thorns and are billed at the rate specified for your tier. Payments are processed by Stripe. All prices are in GBP.

5. Cancellation

You may cancel your subscription at any time via the dashboard or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. Upon cancellation, your account is downgraded to the FREE tier.

6. Data Processing

Thorn Layer processes request content in memory only for the duration of each request. No prompt content or LLM response content is stored, logged, or retained at any point. Your LLM provider API key is held in memory only for the duration of the proxied request. See our Privacy Policy for full details.

7. Limitation of Liability

To the maximum extent permitted by law, CoreSeed Ltd's total aggregate liability to you for any claims arising out of or relating to these Terms or the service shall not exceed the amount you paid to CoreSeed Ltd in the twelve (12) months preceding the claim.

CoreSeed Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.

8. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where practical. We are not liable for downtime caused by factors outside our reasonable control.

9. Acceptable Use

You may not use Thorn Layer to process requests that violate applicable law, infringe third-party rights, or attempt to circumvent the service's security features. We reserve the right to suspend accounts that violate these Terms.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
